UC Tech Terms of Service, Refund & Payment Policy

1. DEFINITIONS

For the purpose of these Terms of Service, Refund Policy, Payment Policy, Privacy Policy, Acceptable Use Policy and all other policies published by UC Tech Private Limited ("UC Tech"), the following terms shall have the meanings assigned below unless the context otherwise requires.


1.1 "UC Tech", "Company", "We", "Us", or "Our"

Means UC Tech Private Limited, including its successors, assigns, subsidiaries, affiliates, directors, officers, employees, contractors, agents, licensors, representatives, business partners, vendors and authorized service providers.


1.2 "Customer", "User", "Client", "Subscriber", "Business", or "You"

Means any individual, proprietor, partnership firm, LLP, company, corporation, trust, society, NGO, government authority or any other legal entity who registers, subscribes, purchases, renews, accesses or uses any Service provided by UC Tech.

The Customer shall also include every employee, administrator, operator, consultant or authorized representative accessing the Services on behalf of such entity.


1.3 "Account"

Means the registered UC Tech account created by the Customer for accessing the Services, including the associated login credentials, dashboard, Wallet, subscription details, API credentials, integrations, settings, messaging history and all related information.

Each Account is personal to the registered Customer and shall not be transferred, sold, assigned, sublicensed or shared except as expressly permitted by UC Tech.


1.4 "Services"

Means all software, Software-as-a-Service (SaaS), cloud-based applications, AI solutions, WhatsApp Business API services, chatbot platform, marketing automation, customer engagement platform, APIs, dashboards, integrations, documentation, technical support, hosting, consulting services, professional services, enterprise services and any other products or digital services made available by UC Tech.


1.5 "Software"

Means the UC Tech web application, mobile application, cloud platform, backend infrastructure, APIs, dashboard, automation engine, AI engine, integrations, chatbot engine, databases, algorithms, source code, object code, user interface and all associated software components.


1.6 "Subscription"

Means a paid licence granted by UC Tech permitting the Customer to access and use the Services for a specified duration, subject to payment of applicable fees and continued compliance with this Agreement.

A Subscription grants only a limited, revocable, non-exclusive and non-transferable right to use the Services and does not transfer ownership of the Software.


1.7 "Subscription Plan"

Means any monthly, quarterly, annual, enterprise, custom or promotional plan offered by UC Tech, together with its applicable pricing, limits, inclusions, exclusions, renewal terms and conditions.


1.8 "Wallet"

Means the digital prepaid balance maintained within the Customer's Account solely for purchasing subscriptions, messaging credits, AI credits, add-ons, integrations and other Services offered by UC Tech.

The Wallet is not a bank account, payment account, prepaid payment instrument, stored value facility or financial instrument and shall not accrue interest.


1.9 "Wallet Balance"

Means the unused prepaid balance available within the Wallet which may be utilised exclusively for eligible purchases on the UC Tech platform in accordance with this Agreement.

Wallet Balance has no cash value outside the UC Tech platform.


1.10 "Credits"

Means prepaid digital usage units issued by UC Tech including but not limited to:

  • WhatsApp Message Credits
  • AI Credits
  • Promotional Credits
  • Bonus Credits
  • Service Credits
  • Campaign Credits
  • Wallet Credits
  • API Usage Credits

Credits shall have no independent monetary value and shall only be usable within the UC Tech platform.


1.11 "WhatsApp Message Credits"

Means prepaid credits used for sending messages through the WhatsApp Business Platform.

Actual message charges, pricing categories and billing may change in accordance with Meta's pricing policies or UC Tech's pricing updates.

Unused Message Credits shall not constitute refundable monetary assets.


1.12 "AI Credits"

Means prepaid usage credits consumed for AI-powered services including but not limited to AI responses, AI assistants, AI automation, AI generation, AI workflows or any future AI products introduced by UC Tech.

Consumption of AI Credits shall be based upon actual usage determined by UC Tech's systems.


1.13 "Third-Party Services"

Means any software, platform, infrastructure, cloud provider, telecommunications operator, payment gateway, API provider or external service that is not owned or controlled by UC Tech, including but not limited to Meta, WhatsApp, Facebook, Instagram, Google, OpenAI, hosting providers, telecom operators and payment processors.

UC Tech neither owns nor controls such Third-Party Services.


1.14 "Meta"

Means Meta Platforms, Inc., together with its subsidiaries, affiliates, successors and related products including WhatsApp Business Platform, WhatsApp Business API, WhatsApp Cloud API, WhatsApp Business App, Facebook, Instagram, Meta Business Manager and associated services.


1.15 "WhatsApp Business Platform"

Means the official WhatsApp Business Platform, WhatsApp Business API, WhatsApp Cloud API and all related technologies, infrastructure and services operated by Meta.

UC Tech merely provides software integration and access where applicable and does not own or operate the WhatsApp Business Platform.


1.16 "Content"

Means all messages, templates, text, images, audio, video, documents, files, customer data, contact information, campaigns, automation flows, chatbot responses, media, metadata and other information uploaded, transmitted, stored or processed by the Customer through the Services.

The Customer retains responsibility for all Content submitted through the Services.


1.17 "Applicable Law"

Means all applicable laws, statutes, rules, regulations, notifications, governmental orders, judicial precedents and regulatory requirements applicable to the Services, including the laws of the Republic of India where relevant.


1.18 "Business Day"

Means any day, excluding Saturdays, Sundays and public holidays, on which commercial banks are open for normal business in Mumbai, Maharashtra, India.


1.19 "Agreement"

Means these Terms of Service, Refund Policy, Payment Policy, Privacy Policy, Acceptable Use Policy, Pricing Policy, Data Processing Terms, Order Forms, Invoices, Service Orders and every policy incorporated by reference, as amended from time to time.


1.20 Rules of Interpretation

Unless the context otherwise requires:

(a) words importing the singular shall include the plural and vice versa;

(b) words importing any gender shall include every gender;

(c) headings are inserted solely for convenience and shall not affect interpretation;

(d) the words "including", "includes" and "such as" shall mean "including without limitation";

(e) references to any legislation shall include amendments, modifications, re-enactments and successor legislation;

(f) references to a person include individuals, companies, partnerships, LLPs, trusts, government authorities and every other legal entity;

(g) if any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect;

(h) where any service-specific agreement exists between UC Tech and the Customer, such agreement shall prevail only to the extent of any inconsistency relating to that specific Service.
